The provision of artificial intelligence consultancy services by X, the trading name of GENERAL INTELLIGENCE PLC.

Introduction

These Terms of Business govern the provision of services by X, a trading name and registered trade mark of GENERAL INTELLIGENCE PLC, a company registered in 1896. GENERAL INTELLIGENCE PLC is the proprietor of a UK-registered trade mark for the letter X in Class 42 and the owner of the domain x.uk. X provides consultancy services in the field of artificial intelligence and related disciplines. By engaging X or using the website at x.uk, clients and visitors agree to be bound by these Terms of Business.

Scope of Services

X provides advisory, analytical, strategic, and research-based consultancy services relating to artificial intelligence, computational systems, and their applications. Unless expressly agreed otherwise in writing, all services are provided on a non-exclusive, consultancy basis and do not constitute the provision of legal, regulatory, financial, or medical advice.

Engagement and Contract Formation

A binding contract for services shall arise only when:

  • the scope of services has been agreed in writing, and
  • such agreement has been confirmed by GENERAL INTELLIGENCE PLC acting under the trading name X.

Any proposals, discussions, or preliminary communications do not constitute an offer capable of acceptance unless explicitly stated.

Standard of Performance

X undertakes to perform its services with reasonable skill, care, and professional diligence, consistent with accepted standards of practice in advanced artificial intelligence consultancy and research. X does not guarantee specific outcomes, commercial results, or technical performance beyond the scope expressly agreed with the client.

Client Responsibilities

Clients agree to:

  • provide accurate, complete, and timely information relevant to the engagement;
  • ensure that any materials supplied to X do not infringe the rights of third parties;
  • use the outputs of X responsibly and in accordance with applicable laws and ethical norms.

X shall not be responsible for delays or deficiencies resulting from inaccurate or incomplete information provided by the client.

Intellectual Property

Unless otherwise agreed in writing:

  • All pre-existing intellectual property of X remains the exclusive property of GENERAL INTELLIGENCE PLC.
  • Intellectual property created in the course of providing services shall vest in GENERAL INTELLIGENCE PLC, subject to any licence expressly granted to the client.

Clients may not reproduce, distribute, or adapt X’s materials beyond the agreed purpose without prior written consent.

Confidentiality

Both X and the client agree to treat as confidential any non-public information disclosed in connection with the provision of services. Confidentiality obligations do not apply to information that:

  • is already in the public domain,
  • is lawfully obtained from a third party, or
  • must be disclosed by law or regulatory requirement.

Fees and Payment

Fees, payment terms, and any applicable expenses shall be agreed in writing prior to the commencement of services. Unless otherwise stated:

  • fees are exclusive of VAT or other applicable taxes;
  • invoices are payable within the period specified on the invoice.

Late payment may result in the suspension of services.

Limitation of Liability

To the fullest extent permitted by law:

  • X shall not be liable for indirect, consequential, or purely economic losses;
  • liability shall be limited to losses that are reasonably foreseeable and directly attributable to a material breach of these Terms.

Nothing in these Terms excludes liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded by law.

Use of Outputs

Any reports, analyses, models, or other outputs produced by X are intended solely for the use of the client for the agreed purpose. X accepts no responsibility for reliance placed upon its outputs by third parties or for use beyond the agreed context.

Data Protection

Personal data will be processed in accordance with applicable data protection legislation and X’s published Privacy Policy. By engaging X, clients confirm that they have appropriate authority to provide any personal data supplied.

Termination

Either party may terminate an engagement in accordance with the terms agreed in writing or, where no such terms exist, on reasonable notice. Termination does not affect accrued rights, confidentiality obligations, or intellectual property provisions.

Governing Law and Jurisdiction

These Terms of Business shall be governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction over any dispute arising from or in connection with these Terms.

Amendments

X reserves the right to amend these Terms of Business from time to time. Updated versions will be published on x.uk and will apply to future engagements.
